Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Byteroot LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Services

Byteroot LLC provides custom software development services including, but not limited to: web development, Discord bot development, AI integration, and custom software solutions. The specific deliverables, timelines, and pricing for each project are outlined in individual project agreements or invoices agreed upon by both parties.

3. Payment Terms

Payment is due as specified in the project agreement. For standard projects, a 50% deposit is required before work begins, with the remaining balance due upon project completion and delivery. We accept payment via Stripe (credit/debit card). All prices are in USD unless otherwise stated. Invoices not paid within 14 days of the due date may result in suspension of services.

4. Intellectual Property

Upon full payment of all fees, you own the deliverables produced by Byteroot LLC for your project. Prior to full payment, Byteroot LLC retains all intellectual property rights to the work. We may retain the right to showcase completed projects in our portfolio unless you request confidentiality in writing.

5. Client Responsibilities

You agree to provide accurate project requirements, necessary access credentials, and timely feedback. Delays caused by the client may affect project timelines. You warrant that any materials you provide do not infringe on third-party intellectual property rights.

6. Limitation of Liability

To the maximum extent permitted by law, Byteroot LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability for any claim arising out of these terms shall not exceed the amount paid by you for the specific service giving rise to the claim.

7. Warranties and Disclaimers

We warrant that services will be performed in a professional manner consistent with industry standards. We do not guarantee that software will be free from all defects, but we will make commercially reasonable efforts to correct reported issues within the support period specified in your project agreement.

8. Termination

Either party may terminate a project agreement with written notice. If you terminate, you are responsible for payment for all work completed up to the date of termination. If we terminate due to your breach of these terms, no refund will be issued for work already completed.

9. Governing Law

These Terms are governed by the laws of the State of New Mexico, United States. Byteroot LLC is registered in the State of New Mexico. Any disputes shall be resolved through binding arbitration in Albuquerque, NM.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the new Terms.
